Terms version / effective date: 1.0 / 23 October 2026

These Terms apply between the Licensor and the individual or organisation accepting them (the Customer) to the product and version expressly supplied under these Terms (the Software). An authorised representative must accept these Terms before deployment or activation.
Before activation, the Licensor must provide its legal name and address in the applicable agreement or written licence confirmation.
1. Commercial model
The Software is proprietary and provided without software licence fees. “Licence-free” means there is no charge for the permission to use the Software; it does not mean the Software is unlicensed, open source, or in the public domain.
Implementation, configuration, customisation, hosting, training, technical support, maintenance, advanced integrations, and other professional services may be purchased separately. Purchasing those services does not transfer ownership of the Software.
2. Permission to use
The Licensor grants the Customer a non-exclusive, non-transferable licence, without licence fees, to install and use the supplied Software for its own lawful operations, subject to these Terms. This includes providing the Customer’s normal services to its members, patients, or other users through the Software’s intended features.
The Customer may authorise its staff and contractors to operate the Software on its behalf and may make copies reasonably needed for installation, backup, testing, and recovery. It remains responsible for those users’ compliance. Configuration through documented features is permitted.
For a version supplied for Customer-managed deployment, this permission continues while the Customer complies with these Terms, unless terminated under section 10. It does not depend on purchasing or renewing optional services. This licence does not guarantee free hosting, third-party services, future versions, or ongoing support.
3. Restrictions
Except with written permission or to the extent applicable law permits despite this clause, the Customer must not:
- Sell, sublicense, redistribute, rent, or offer the Software itself as a service to other organisations.
- Publish or disclose proprietary source code, or use it to create or distribute a derivative product.
- Modify proprietary code, reverse engineer, decompile, or disassemble the Software.
- Remove ownership notices, misrepresent authorship, or bypass access or security controls.
These restrictions do not prevent ordinary use of the Customer’s records or exports, permitted configuration, or rights granted by separate third-party licences.
4. Ownership and custom work
The Licensor and its licensors retain their respective rights in the Software, documentation, branding, and proprietary technology. No intellectual property rights are assigned to the Customer by these Terms or by payment for services.
A written statement of work must identify ownership and permitted use of custom deliverables before development begins. Unless expressly agreed otherwise, the Licensor retains ownership of code and enhancements it creates and grants the Customer permission to use delivered enhancements with the Software under these Terms. This does not transfer ownership of Customer data, Customer-authored materials, or pre-existing Customer intellectual property.
Access to proprietary source code, if provided for deployment or support, does not grant redistribution or modification rights beyond those expressly agreed in writing or required by law. Confidential proprietary materials must be protected and disclosed only to authorised personnel who need access and are bound by confidentiality duties.
5. Paid services
Each paid engagement requires an accepted quotation or service agreement specifying scope, deliverables, responsibilities, charges, taxes, payment dates, and any recurring fees. Service levels, response times, training, backups, hosting capacity, and maintenance commitments apply only where expressly agreed.
Additional work or changes require agreement before charges are incurred. Service cancellation or non-payment may affect that service according to its agreement, but does not automatically cancel a compliant Customer’s licence for a Customer-managed copy. Ending hosted access does not create an obligation to continue free hosting.
6. Customer data and privacy
The Customer retains its rights in data it supplies and is responsible for lawful collection, appropriate permissions, accuracy, and authorised use. These Terms do not give the Licensor ownership of Customer records.
The Licensor may access or process Customer data only as needed to provide agreed services, follow documented instructions, protect the service, or meet applicable legal obligations. Where the Licensor processes personal data on the Customer’s behalf, the parties must agree appropriate data-processing terms covering confidentiality, security, authorised subprocessors, incidents, retention, transfers, and return or deletion of data.
For hosted services, the Customer has 30 days after termination of hosting to request an export of its data, unless a longer period is agreed in writing or required by law. The service agreement must define export formats, retention, deletion, and treatment of backup copies. After the exit period, the Licensor may delete hosted Customer data subject to agreed arrangements and applicable legal retention duties. Customer-managed deployments remain the Customer’s responsibility unless management or backup services are expressly contracted.
7. Customer responsibilities
The Customer must protect accounts and credentials, assign suitable permissions, maintain its own infrastructure where applicable, and verify important outputs and transactions. The Software assists financial or administrative work; it does not replace professional judgement or guarantee compliance with accounting, medical, regulatory, or other obligations.
8. Third-party components and earlier licences
Third-party components remain subject to their own licences and notices. These Terms do not restrict rights those licences grant or remove obligations they impose.
These Terms apply only to versions expressly supplied under them. They do not retrospectively revoke permissions already granted under another licence, including any earlier open-source licence. A change of website wording alone does not change the licence governing a previously supplied copy.
9. Warranties and liability
Except for commitments expressly made in a signed agreement and rights that applicable law does not allow the parties to exclude, the Software is supplied as available, without a promise that it will be uninterrupted, error-free, or suitable for every purpose.
To the extent permitted by applicable law, neither party is liable for indirect or consequential loss, including lost profits or business opportunities. Each party’s aggregate liability arising from the Software and related services is limited to the greater of UGX 5,000,000 and the service fees paid or payable by the Customer for the affected services during the 12 months immediately preceding the event giving rise to the claim. The UGX 5,000,000 minimum also applies where the Customer receives no paid services.
These limits do not apply to fraud, deliberate misconduct, payment obligations properly due, infringement of the other party’s intellectual property rights, or liability that cannot lawfully be limited. Any separate cap for confidentiality or personal-data breaches must be agreed expressly. This section does not excuse agreed security, backup, or data-return obligations.
10. Suspension and termination
Either party may terminate for a material breach not remedied within 30 days after written notice describing it. A party may act sooner where the breach cannot be remedied or immediate action is legally required. Hosted access may be temporarily suspended to address a credible security threat or unlawful use, with notice where practicable and restoration when the issue is resolved.
The Customer may stop using the Software at any time, subject to separate service commitments. When the software licence ends, the Customer must stop using and remove proprietary copies, except materials legally required to be retained, which must remain protected and unused. Customer data and exports remain the Customer’s, and hosted exit arrangements are governed by section 6 and the service agreement.
11. Changes to terms
Revised terms may be proposed for future versions or renewals of services, with notice and acceptance where required. Posting new terms does not automatically alter the licence for a version already supplied. No change introduces a software licence fee for an already licensed version without the Customer’s express agreement.
12. Governing law and agreement
These Terms are governed by the laws of the Republic of Uganda. The parties will first attempt to resolve disputes through good-faith discussions. If a dispute is not resolved within 30 days after written notice, either party may refer it to a court of competent jurisdiction in Uganda. This does not prevent urgent protective relief or restrict rights that applicable law does not permit the parties to exclude.
A signed agreement controls an identified conflict with these Terms. Third-party licence rights remain unaffected. If a provision is unenforceable, the remaining provisions continue to apply. Formal notices must be sent to the addresses specified in the accepted agreement.
Acceptance: The Customer’s legal name, authorised representative, acceptance date, and method of acceptance must be recorded in a signed agreement or a verifiable electronic acceptance record.
